STANDARD TERMS AND CONDITIONS OF SALE

1. Risk and Ownership. All risks related to the goods shall transfer to

the Buyer upon delivery and the Buyer shall bear full responsibility

for any loss, damage, or deterioration of the goods. However,

ownership of the goods shall remain with PRO LAB until full

payment of all outstanding amounts and all other sums then or

which become due to the Buyer on any account, is received from the

Buyer.

2. Warranty and After-Sales Services. The goods sold under this

Agreement are covered by the manufacturer’s warranty and PRO

LAB’s warranties if applicable and are subject to the terms and

conditions set forth therein.

3. Inspection and Acceptance . The Buyer shall inspect the goods

upon delivery and notify PRO LAB in writing of any defects,

discrepancies, ordamages within Five (5) days from the date of

delivery. Failure to provide such notice within the specified period

will be deemed as acceptance of the goods in their delivered

condition. The Buyer acknowledges and agrees to cooperate with

PRO LAB in facilitating any necessary inspection of the goods to

determine the nature of the defect. PRO LAB shall not be liable for

any defects, damages, or malfunctions resulting from misuse,

mishandling, improper installation, or any actions by the buyer or

third parties. The Buyer assumes full responsibility for ensuring that

the goods are used and maintained correctly and in accordance with

the manufacturer's guidelines.
